By signing up to be a client, accessing, or using the Services, you signify your agreement to these Terms, which constitute a binding legal agreement between you and Ever After Now.

2. Eligibility

You must be at least 21 years old and legally able to enter into a contract to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements. Our Services are specifically for individuals who identify as gay men and are genuinely seeking a committed, romantic relationship.

3. Our Services

Ever After Now offers personalized matchmaking services which may include, but are not limited to:

• Initial consultations and profile assessment.

• Curated introductions to potential matches based on compatibility criteria.

• Feedback and coaching sessions.

• Event invitations (if applicable).

We do not guarantee any specific number of matches, successful relationships, or outcomes from our Services. Our role is to facilitate introductions and provide guidance; the success of any relationship is ultimately dependent on the individuals involved.

4. Registration and Account Security

• To use our Services, you will be required to sign up as a client and provide us with relevant information. You agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

• Ever After Now cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

5. Fees and Payment

• Our Services are fee-based and bespoke. Details of our service packages, fees, and payment terms will be provided to you on a call or in person before you come on board as a client.

• All fees are non-refundable unless otherwise explicitly stated in writing by Ever After Now or as required by applicable consumer protection laws.

• You agree to pay all fees and applicable taxes incurred by you or anyone using your account.

• We reserve the right to change our fees at any time, provided that any such changes will not affect services for which you have already paid.

6. User Responsibilities and Conduct

You agree to:

• Honesty and Accuracy: Provide truthful, accurate, and complete information about yourself, including your background, relationship goals, and personal details. Misrepresentation may lead to immediate termination of your service without refund.

• Respectful Communication: Interact with our team and potential matches with respect, integrity, and honesty. Harassment, discrimination, hate speech, or any form of abusive behaviour will not be tolerated.

• Active participation: Attend scheduled meetings and calls promptly, and respond to follow-up communications in a timely manner.

• Confidentiality: Maintain the confidentiality of any personal information about other clients or potential matches that you may receive through our Services. Do not disclose such information to third parties.

• Privacy: Respect the privacy of others. Do not engage in unsolicited contact outside of our matchmaking process unless mutually agreed upon.

• Compliance: Comply with all applicable laws and regulations in your use of the Services.

• Safety: Prioritize your personal safety during any interactions with matches. We recommend meeting in public places for initial dates and informing a friend or family member of your plans.

You agree NOT to:

• Use the Services for any unlawful purpose or in any way that violates these Terms.

• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

• Engage in any form of "catfishing" or creating fake profiles.

• Solicit money or other items of value from other users or our staff.

• Transmit any worms or viruses or any code of a destructive nature.

• Interfere with or disrupt the integrity or performance of the Services.

• Attempt to gain unauthorized access to our systems or networks.

7. Confidentiality and Privacy

• Your privacy is paramount to us. Our collection, use, and disclosure of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy carefully.

• You acknowledge and agree that we will share certain personal information you provide (e.g., your first name, age, general interests, and a profile description) with potential matches to facilitate introductions. We will always seek your consent before sharing identifying details such as your full name or contact information with a specific match.

8. Disclaimers and Limitation of Liability

• No Guarantees: We do not guarantee a successful match, a relationship, or any particular outcome from using our Services. Our Services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

• User Conduct: We are not responsible for the conduct of any users of our Services, whether online or offline. You are solely responsible for your interactions with other individuals.

• Third-Party Links: Our Services may contain links to third-party websites or resources. We are not responsible for the content, products, or services on or available from those websites or resources.

• Limitation of Liability: To the fullest extent permitted by applicable law, Ever After Now, its affiliates, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; or (d) unauthorized access, use, or alteration of your transmissions or content.

• In no event shall the aggregate liability of Ever After Now exceed the amount you paid to Ever After Now for the Services in the twelve-month period preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Ever After Now and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any privacy or intellectual property right; or (d) any claim that your conduct caused damage to a third party. This defence and indemnification obligation will survive these Terms and your use of the Services.

10. Termination

• We may terminate or suspend your access to all or part of our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

• Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or notify us.

• Sections 5 (Fees and Payment - for outstanding amounts), 8 (Disclaimers and Limitation of Liability), 9 (Indemnification), 11 (Governing Law and Dispute Resolution), and 12 (General Provisions) shall survive any termination of these Terms.

11. Governing Law and Dispute Resolution

• These Terms shall be governed and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

• Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be first attempted to be resolved through good faith negotiation between the parties.

• If a resolution is not reached through negotiation, the parties agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, for the resolution of any legal action or proceeding arising out of or related to these Terms.

12. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and any client agreement/service contract, constitute the entire agreement between you and Ever After Now regarding the use of the Services.

• Waiver and Severability: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

• Amendments: We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

• Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. We may assign or transfer these Terms, at our sole discretion, without restriction.

• Headings: The headings in these Terms are for convenience only and have no legal or contractual effect.
